General terms and Conditions of Sales

 

Article 1. General clause

Our sales are subject to the present General Terms and Conditions which prevail over any conditions of purchase, unless we expressly waive them in writing.

 

Article 2. Scope of application

These General Terms and Conditions of Sale apply regardless of how the customer places an order: online, by mail, by phone.

If the product is purchased from a third company, in no case can the customer take advantage of the present General Sales Conditions with regard to Milan Noir.

 

Article 3. Orders

Orders can be sent to Milan Noir by mail, internet or phone.

We will ship the items listed on the order to the address provided by the customer.

In the case of an online order on the www.milan.epicure-connect.fr website, the order is considered irrevocable as of the last "acceptance click" and can only be challenged in the cases exhaustively provided for below. This last "click" is assimilated to the handwritten signature referred to in Article 1341 of the French Civil Code. The courts of the head office of Milan Noir (Villenave d'Ornon) have exclusive jurisdiction.

A confirmation e-mail is sent back to the customer as soon as the order is registered. By keeping this email and/or printing it, the customer has a proof of his order that Milan Noir recommends to keep because only the information contained in this email will be considered as proof in case of dispute.

Orders are only final when they have been confirmed by the payment of the price by the buyer.

All our offers are subject to availability and are non-binding.

 

Article 4. Price, payment conditions

Prices are quoted in euros, including all taxes. The prices indicated are exworks, including packaging and VAT (in force at the time of invoicing), plus postage. Orders are payable in cash, no product will be delivered before payment is received.

Payment can only be made via Paypal or by credit card online.

 

Article 5. Packaging and delivery costs

Our products are normally packed and sent in a box.

Article 6. Right of cancellation (only in respect of the consumer customer)

The consumer customer has a withdrawal period of 14 clear days from the delivery of his order to return the product. Within this period, the customer may request a refund of the sums paid. The product must be returned in perfect condition in its original packaging to Milan Noir - 14 Avenue du travail - 33140 Villenave d'Ornon, in France. The customer must, prior to any return of product, contact Milan Noir to learn about the return procedure. Transport costs will be charged to the customer at the current rate. Any refund to the customer will be made within 30 days of the exercise of this right.

The right of withdrawal does not apply to personalised products.

 

Article 7. Delay and default of payment

In the event of non-payment by the customer of all sums due to Milan Noir, we reserve the right, without the need for prior notice, to suspend all deliveries to the customer, until the latter has paid the sum or sums due. In the event that a procedure should prove necessary, the customer shall bear all costs incurred by Milan Noir for the recovery of the amounts due. It is expressly agreed that failure to pay by the due date shall result in the immediate payment of all outstanding amounts, regardless of the method of payment initially agreed upon, and also, as late payment penalties, of an indemnity equal to one and a half times the legal interest rate, in addition to any procedural costs. The products remain the property of Milan Noir until full payment of the invoices.

 

Article 8.Details, returns, conflicts, complaints

Milan Noir commits itself to do everything possible to deliver the ordered products as soon as possible, this delay can vary from 3 to 12 days. However, linked to other service providers for delivery, Milan Noir cannot guarantee this period, which is simply given as an indication. We strongly recommend that you check the packages in the presence of the delivery person. In case of material damage, the customer must write it on the receipt of the deliveryman. If the goods are not delivered, the customer is requested to inform our services within 2 weeks after placing the order. Any delays do not give the buyer the right to cancel the sale, to refuse the goods or to claim damages. Goods are always shipped at the risk of the recipient. Always check your package upon arrival. You have a period of 48 hours to make any reservations to the carrier in case of shortage or damage.

 

Article 9. Force majeure

In addition to those usually accepted by the jurisprudence of the French courts, the following are expressly considered as cases of force majeure total or partial strikes (internal or external to the company); bad weather, epidemics, blockage of means of transport or supply for any reason whatsoever, earthquakes, fires, storms, floods, water damage, governmental or legal restrictions, legal or regulatory changes to forms of marketing, total or partial blockage of means of telecommunication and communication, including networks and services, and all other cases beyond the express control of the parties and preventing the normal performance of the present.

 

Article 10. Files protection

The information collected when ordering products is necessary for delivery and for sending documents relating to the products. The addresses are not subject to any marketing or distribution to third parties. The customer acknowledges having been informed that, in accordance with the provisions of the French Data Protection Act of 6 January 1978, he has the right to access, rectify and oppose any personal data concerning him/her.

To keep track of your preferences and the products you place in your shopping cart, we use "cookie" technology. These are small text files stored by your web browser on your hard drive. These files can be deleted between orders.

 

Article 11. Disputes

Complaints or disputes will always be received with attentive benevolence, good faith always being presumed in those who take the trouble to explain their situations. In the event of a dispute, the customer should first contact the company to obtain an amicable solution. Failing this, the Commercial Court of Bordeaux shall have sole jurisdiction. Any dispute shall be subject to French law.
